IMPORTANT NOTICE

This Lead Disclosure (“Disclosure”) applies to all users, customers, brokers, agents, investors, advertisers, marketers, developers, lenders, property owners, tenants, landlords, referral partners, service providers, and other parties interacting with LiBe Holdings, S.A.S. and any of its parents, subsidiaries, affiliates, successors, assigns, related entities, controlled entities, commonly controlled entities, licensed operators, authorized representatives, officers, directors, employees, contractors, agents, brokers, partners, and service providers (collectively, “LiBe,” “Company,” “we,” “our,” or “us”).

This Disclosure governs all leads, inquiries, prospects, customer contacts, referrals, registrations, marketing contacts, advertising responses, property inquiries, and related information collected, generated, purchased, licensed, distributed, transferred, sold, assigned, qualified, scored, or otherwise processed through LiBe Services.

By accessing or using any LiBe Service, you acknowledge and agree to this Disclosure.

1. DEFINITION OF A LEAD

A “Lead” may include:

• Property inquiries
• Buyer inquiries
• Seller inquiries
• Landlord inquiries
• Tenant inquiries
• Investor inquiries
• Customer registrations
• Contact requests
• Advertising responses
• Referral submissions
• Appointment requests
• Financing inquiries
• Service inquiries
• Marketing prospects
• Website registrations
• Mobile application registrations
• CRM records
• Future customer opportunities

A Lead does not necessarily represent an active customer, qualified prospect, or completed transaction opportunity.

2. LEAD SOURCES

Leads may originate from:

• Website forms
• Landing pages
• Social media platforms
• Search engines
• Advertising campaigns
• Referral partners
• Third-party providers
• Publicly available information
• Customer submissions
• Mobile applications
• Messaging platforms
• AI-assisted systems
• Marketing automation systems

LiBe does not guarantee the source, accuracy, completeness, or reliability of any Lead.

3. NO GUARANTEE OF ACCURACY

Lead information may contain:

• Errors
• Omissions
• Outdated information
• Incomplete information
• Incorrect contact information
• Duplicate information

Users should independently verify all Lead information before relying upon it.

4. NO GUARANTEE OF QUALITY

LiBe does not guarantee that any Lead:

• Is qualified
• Is verified
• Is financially capable
• Is interested in a transaction
• Is actively seeking services
• Will respond
• Will convert
• Will purchase
• Will lease
• Will invest

Lead quality may vary substantially.

5. NO GUARANTEE OF EXCLUSIVITY

Unless expressly agreed in writing:

• Leads are non-exclusive.
• Leads may be distributed to multiple recipients.
• Leads may be shared with affiliates.
• Leads may be routed through multiple systems.
• Similar opportunities may be presented to competing businesses.

No exclusivity rights shall exist without a written agreement.

6. LEAD OWNERSHIP

LiBe retains all rights, title, and interest in Leads and lead databases unless otherwise provided in a written agreement.

Access to a Lead does not transfer ownership of:

• Databases
• Contact records
• Lead scoring systems
• Marketing systems
• Customer relationship data

Unauthorized use may result in suspension or legal action.

7. LEAD DISTRIBUTION

LiBe may distribute Leads through:

• Manual assignment
• Automated routing
• Geographic assignment
• Specialty assignment
• AI-assisted distribution
• Marketing systems
• CRM systems

LiBe reserves sole discretion regarding Lead distribution.

8. COMMUNICATIONS COMPLIANCE

Recipients of Leads are solely responsible for compliance with:

• Email marketing laws
• SMS laws
• WhatsApp policies
• Telephone solicitation laws
• Anti-spam laws
• Consumer protection laws
• Telecommunications laws
• Privacy laws

LiBe does not guarantee that a Lead may be contacted through any specific communication channel.

Recipients must independently verify permissions where required by law.

9. PRIVACY COMPLIANCE

Lead information may constitute personal information under applicable laws.

Recipients agree to comply with:

• Privacy laws
• Data protection laws
• Consumer protection laws
• Data retention requirements
• Security obligations

Users are responsible for their own processing activities.

10. FAIR HOUSING COMPLIANCE

Lead generation and Lead handling must comply with applicable fair housing and anti-discrimination laws.

Users may not discriminate on the basis of:

• Race
• Color
• Religion
• National origin
• Citizenship
• Sex
• Gender identity
• Sexual orientation
• Familial status
• Disability
• Age
• Marital status
• Military status
• Any protected characteristic recognized by law

LiBe reserves the right to terminate users engaging in unlawful discrimination.

11. NO ENDORSEMENT OF LEADS

LiBe does not endorse, certify, recommend, or guarantee:

• Lead quality
• Lead intent
• Lead authenticity
• Lead qualifications
• Lead suitability

Users must perform their own due diligence.

12. AI AND AUTOMATED SYSTEMS

LiBe may utilize:

• Artificial intelligence
• Machine learning
• Predictive analytics
• Lead scoring systems
• Automated qualification tools

LiBe does not guarantee the accuracy or suitability of AI-generated classifications, recommendations, or scores.

13. THIRD-PARTY LEADS

Some Leads may originate from third-party providers.

LiBe does not control:

• Third-party collection methods
• Third-party verification processes
• Third-party consent practices

Users assume all risks associated with third-party Lead information.

14. PROHIBITED USES

Users may not:

• Resell Leads without authorization
• Scrape Lead information
• Harvest contact information
• Circumvent distribution systems
• Use Leads for unlawful purposes
• Violate privacy laws
• Engage in harassment or spam

Violations may result in termination and legal action.

15. NO GUARANTEE OF RESULTS

LiBe does not guarantee:

• Appointments
• Transactions
• Contracts
• Closings
• Sales
• Revenue
• Profitability
• Return on investment

Marketing and sales outcomes depend upon numerous factors beyond LiBe’s control.

16. LIMITATION OF LIABILITY

To the fullest extent permitted by law, LiBe shall not be liable for:

• Lead inaccuracies
• Lead quality issues
• Duplicate Leads
• Non-responsive Leads
• Lost opportunities
• Lost profits
• Business interruption
• Consequential damages

LiBe’s total liability shall not exceed amounts paid directly to LiBe for the affected service during the twelve (12) months preceding the claim.

17. INTERNATIONAL APPLICABILITY

This Disclosure is intended to operate throughout:

• United States
• Puerto Rico
• Canada
• Mexico
• Central America
• South America
• Caribbean jurisdictions

Lead generation laws vary among jurisdictions.

Users remain responsible for compliance with local laws applicable to them.

18. MANDATORY LAW SAVINGS CLAUSE

Where local law grants rights, protections, restrictions, disclosures, or obligations that cannot legally be waived, those provisions shall apply.

All remaining provisions shall remain enforceable to the fullest extent permitted by law.

19. GOVERNING LAW

This Disclosure shall be governed by the laws of the Republic of Colombia.

20. JURISDICTION

Except where prohibited by mandatory law, disputes relating to this Disclosure shall be subject exclusively to the courts located in:

Barranquilla, Atlántico, Colombia.
