This Automobile Sales & Export Disclosure (“Disclosure”) applies to all users, customers, buyers, sellers, exporters, importers, dealers, brokers, agents, lenders, shipping providers, customs brokers, referral partners, and other parties interacting with LiBe Holdings, S.A.S. and any of its parents, subsidiaries, affiliates, successors, assigns, related entities, controlled entities, commonly controlled entities, licensed operators, authorized representatives, officers, directors, employees, contractors, agents, brokers, partners, and service providers (collectively, “LiBe,” “Company,” “we,” “our,” or “us”).

This Disclosure governs all vehicle-related services, listings, advertisements, exports, imports, referrals, brokerage activities, shipping arrangements, financing referrals, inspections, auctions, and related services.

By accessing or using any LiBe Service, you acknowledge and agree to this Disclosure.

1. VEHICLE INFORMATION DISCLAIMER

Vehicle information may originate from:

• • Owners

• • Dealers

• • Auctions

• • Manufacturers

• • Government records

• • Third-party providers

• • Vehicle history providers

LiBe does not guarantee:

• • Accuracy

• • Completeness

• • Condition

• • Mileage

• • Ownership history

• • Vehicle history reports

• • Mechanical condition

• • Market value

All vehicle information should be independently verified.

2. NO GUARANTEE OF VEHICLE CONDITION

Unless expressly stated in a written agreement, all vehicles are offered:

“WHERE IS”
WITH ALL FAULTS

To the fullest extent permitted by law.

LiBe does not guarantee:

• • Structural condition

• • Cosmetic condition

• • Safety condition

• • Emissions compliance

• • Roadworthiness

• • Fitness for a particular purpose

Independent inspections are strongly recommended.

3. USED VEHICLE DISCLOSURE

Vehicle history reports should not be the sole basis for purchase decisions.

5. EXPORT COMPLIANCE DISCLOSURE

Export laws vary significantly among jurisdictions.

Buyers are solely responsible for:

LiBe does not guarantee:

13. INTERNATIONAL TRANSACTIONS

Buyers assume responsibility for evaluating such risks.

14. ANTI-MONEY LAUNDERING COMPLIANCE

LiBe may require:

• • Beneficial ownership information

• • Enhanced due diligence

LiBe reserves the right to refuse transactions where compliance concerns exist.

15. NO AGENCY OR FIDUCIARY RELATIONSHIP

Unless expressly established through a written agreement, LiBe does not act as:

• • Fiduciary

• • Trustee

• • Investment advisor

Users remain responsible for their own decisions.

16. LIMITATION OF LIABILITY

To the fullest extent permitted by law, LiBe shall not be liable for:

• • Mechanical failures

• • Shipping delays

• • Customs delays

• • Import denials

• • Export denials

• • Market value changes

• • Registration issues

• • Regulatory actions

Users assume responsibility for independent due diligence.

17. MANDATORY LAW SAVINGS CLAUSE

This Disclosure is intended to operate throughout:

• • United States

• • Puerto Rico

• • Canada

• • Mexico

• • Central America

• • South America

• • Caribbean jurisdictions

Where local law grants rights, protections, restrictions, disclosures, or obligations that cannot legally be waived, those provisions shall apply.

All remaining provisions shall remain enforceable to the fullest extent permitted by law.

18. GOVERNING LAW

This Disclosure shall be governed by the laws of the Republic of Colombia.

19. JURISDICTION

Except where prohibited by mandatory law, disputes relating to this Disclosure shall be subject exclusively to the courts located in:

Barranquilla, Atlántico, Colombia.
